These Terms & Conditions (“Terms”) govern your use of the Coexa mobile application and related backend services (together, the “Service”), operated by Coexa (“Coexa”, “we”, “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old and able to form a binding contract to use the Service. If you use the Service on behalf of a company or organisation, you confirm you are authorised to accept these Terms for it.

2. The Service

Coexa helps travel-trade professionals capture leads (by scanning business cards and recording voice notes), organise and classify those leads, draft outreach with AI assistance, send emails, and run follow-up sequences. Features may change, improve, or be discontinued over time.

3. Your account

You sign in with Google. You are responsible for maintaining the security of the Google account you use and for all activity under your Coexa account. Notify us promptly of any unauthorised use.

4. Your data and your responsibilities

You are responsible for the information you capture and process through the Service, including data about the leads and contacts you add. In particular, you represent and warrant that:

As between you and Coexa, you retain ownership of your data. You grant us the limited rights needed to host, process, and display it in order to provide the Service.

5. Acceptable use

You agree not to: misuse or interfere with the Service; attempt to gain unauthorised access to it or to other users’ data; reverse-engineer or scrape it except as permitted by law; resell it without our permission; or use it for any illegal purpose.

6. AI-assisted features

Coexa uses AI (the Google Gemini API) to read cards, transcribe voice notes, and draft messages. AI output can be inaccurate or incomplete. You are responsible for reviewing and editing any AI-generated content before you send or rely on it.

7. Teams

If you invite another user to your team and they accept, you will be able to view their leads and act on their behalf within the Service (“view as”). You must only exercise these capabilities for legitimate, authorised purposes. Any member may leave a team at any time. You are responsible for how you and your team members use the Service.

8. Third-party services

The Service integrates with third-party services including Google Sign-In, the Gmail API, the Google Gemini API, and WhatsApp (via device deep links). Your use of those services is also governed by their respective terms and policies. We are not responsible for third-party services.

9. Intellectual property

The Service, including its software, design, and branding, is owned by Coexa and protected by law. These Terms do not grant you any right to our trademarks or to copy or modify the Service, except as expressly permitted.

10. Fees

Where the Service is offered free of charge, we may change or introduce fees in the future with reasonable notice. Any paid features will be described at the time they are offered.

11. Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate.

12. Limitation of liability

To the maximum extent permitted by law, Coexa will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or profits, arising out of or related to your use of the Service. Our total liability for any claim will not exceed the amount you paid us for the Service in the twelve months before the claim, or, where the Service was provided free, a nominal sum.

13. Indemnity

You agree to indemnify and hold Coexa harmless from claims, damages, and expenses arising out of your use of the Service, your data, or your breach of these Terms โ€” including claims by leads or third parties relating to data you captured or messages you sent.

14. Termination

You may stop using the Service and delete your account at any time from within the app. We may suspend or terminate access if you breach these Terms or use the Service unlawfully. Deleting your account deactivates it; residual backups are handled as described in our Privacy Policy.

15. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-laws principles. The courts located in India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, subject to any mandatory rights you may have under your local law.

16. Changes to these Terms

We may update these Terms from time to time. We will revise the “Last updated” date above and, for significant changes, may notify you in the app. Your continued use of the Service after a change means you accept the updated Terms.
